1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the SignatureReel platform, website, and related services (collectively, the “Service”) operated by SignatureReel (“we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

SignatureReel is an AI-powered video content platform designed for licensed real estate agents. The Service generates short-form video content (typically 30–60 seconds) featuring an AI avatar that presents market data, listing information, and neighborhood insights. Videos are branded with the agent’s name, brokerage, license number, and contact information.

The Service includes AI script generation using real estate market data, AI avatar creation from user-provided media, video production and branding, and content delivery in multiple formats.

3. Account Terms

To use the Service, you must authenticate via Google OAuth and maintain a valid Google account. Each account is intended for use by a single real estate agent or authorized representative. You are responsible for maintaining the security of your Google account credentials and for all activity that occurs under your account.

You must provide accurate and complete information during onboarding, including your legal name, brokerage affiliation, and license number where applicable. You agree to update this information promptly if it changes.

We reserve the right to suspend or terminate accounts that violate these Terms, are used fraudulently, or remain inactive for an extended period.

4. Subscription and Billing

SignatureReel offers subscription plans billed on a monthly or annual basis. All payments are processed securely through our PCI-compliant payment processor. By subscribing, you authorize us to charge your designated payment method on a recurring basis until you cancel.

• ✦Auto-renewal. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
• ✦Cancellation. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial periods.
• ✦Price changes. We may adjust pricing with at least 30 days’ notice. If you do not agree to the new pricing, you may cancel before it takes effect.
• ✦Free trials. If offered, free trials convert to a paid subscription at the end of the trial period unless cancelled beforehand.

5. Acceptable Use

You agree to use the Service only for lawful purposes. You may not:

• ✦Use the Service to create content that is misleading, fraudulent, defamatory, or that violates any applicable law or regulation.
• ✦Create avatar content impersonating another person without their consent.
• ✦Attempt to reverse-engineer, decompile, or extract source code from the Service.
• ✦Resell, sublicense, or redistribute the Service or any content generated by the Service’s underlying AI systems (excluding your own branded video output).
• ✦Use automated tools to scrape, harvest, or extract data from the Service.

6. Content Ownership

Your content. You retain ownership of the video recordings you upload for avatar creation and the final branded videos generated by the Service. You grant SignatureReel a limited, non-exclusive license to process, store, and transform your uploaded content solely for the purpose of providing the Service.

Our platform. The Service, including its software, AI models, design, scripts, templates, and underlying technology, is and remains the property of SignatureReel. Nothing in these Terms transfers ownership of the platform or its intellectual property to you.

Market data. Market data used in video scripts may be sourced from your inputs or third-party data providers. This data is provided for informational purposes and may not be republished independently of the video content.

7. AI-Generated Content Disclaimer

Video scripts are generated by artificial intelligence using market data and your profile information. While we strive for accuracy, AI- generated content may contain errors, omissions, or outdated information.

You are solely responsible for reviewing all scripts and video content before publishing or distributing them. You should verify all market statistics, property details, and factual claims before sharing any video with your audience.

SignatureReel does not guarantee the accuracy, completeness, or timeliness of any AI-generated content and is not liable for errors in published videos that you approved.

8. Fair Housing Compliance

As a licensed real estate professional, you are responsible for ensuring that all content you publish complies with the Fair Housing Act, state fair housing laws, and all applicable real estate advertising regulations.

While SignatureReel incorporates language guardrails designed to avoid discriminatory language, these safeguards are not a substitute for your professional judgment and legal obligations. You must review every video for compliance before distribution.

SignatureReel is not responsible for Fair Housing violations arising from content you approve and publish.

9. Intellectual Property

The SignatureReel name, logo, branding, and all associated visual identity elements are the intellectual property of SignatureReel. You may not use our trademarks, trade names, or branding in any manner that suggests endorsement or affiliation beyond your use of the Service as a subscriber.

Feedback, suggestions, and feature requests you submit may be used by SignatureReel to improve the Service without obligation or compensation to you.

10. Limitation of Liability

To the maximum extent permitted by applicable law, SignatureReel and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost profits, loss of business, or loss of data, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to SignatureReel in the twelve (12) months preceding the claim.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Indemnification

You agree to indemnify, defend, and hold harmless SignatureReel from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation, including Fair Housing laws.

12. Termination

You may terminate your account at any time by cancelling your subscription and contacting us at hello@signaturereel.com.

We may suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. We will make reasonable efforts to notify you before termination unless doing so would compromise security or violate a legal obligation.

Upon termination, your right to use the Service ceases immediately. You may request export of your video content for up to 30 days following termination. After that period, we may delete your content in accordance with our data retention practices.

13. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration administered by JAMS in Santa Clara County, California, except that either party may seek injunctive relief in a court of competent jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of those Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
